TERMS OF SALE:

These Terms of Sale (“Agreement”) govern the purchase and provision of services offered by Ace Ali Edits (“we”, “us”, or “our”).

​

This Agreement is legally binding between Ace Ali Edits and the client purchasing services (“Client”, “you”, or “your”).

​

By purchasing services, signing a proposal, accepting a quotation, approving a service package, paying an invoice, or otherwise engaging Ace Ali Edits for services, you confirm that you have read, understood, and agree to be bound by this Agreement.

​

If you are entering into this Agreement on behalf of a company or organisation, you confirm that you have the authority to bind that entity to this Agreement.

​

SERVICES:

Ace Ali Edits provides marketing and creative services which may include but are not limited to:

​

• Website design and development

• Social media content creation

• Social media management

• Video filming and editing

• Branding and visual identity services

• Marketing strategy and consultation

• Digital marketing services and related creative services

​

The scope of work, deliverables, timelines, and pricing will be specified in the applicable proposal, quotation, invoice, or service package.

​

Ace Ali Edits reserves the right to modify, improve, or discontinue services at its discretion.

​

INDEPENDENT CONTRACTOR RELATIONSHIP:

Ace Ali Edits operates as an independent contractor.

​

Nothing in this Agreement creates any partnership, joint venture, employment relationship, or agency relationship between the Client and Ace Ali Edits.

 

PAYMENT TERMS:

Payment terms will be specified in the relevant invoice, proposal, or service package.

​

Unless otherwise stated:

​

• Payment may be required in advance

• Deposits may be required before work begins

• Invoices must be paid by the due date stated

​

Ace Ali Edits reserves the right to delay or suspend services if payment has not been received.

​

DEPOSITS AND ADVANCE PAYMENTS:

Where deposits are required, deposits are non-refundable once work has commenced, except where a refund is required under applicable law.

​

Deposits secure project scheduling and compensate for time reserved and preliminary work completed.

​

Where work has commenced, payments received may be applied toward work already performed.

​

CONSUMER RIGHTS AND LEGAL COMPLIANCE:

Nothing in this Agreement removes or limits rights granted to consumers under applicable law.

​

Where the Client qualifies as a consumer under United Kingdom law, statutory rights may apply including rights relating to:

​

• Services being performed with reasonable care and skill

• Services matching their description

• Services being delivered within a reasonable timeframe

​

If Ace Ali Edits fails to meet these legal standards, the Client may be entitled to remedies available under applicable law, which may include service correction or a partial price reduction.

​

These statutory rights apply only where legally required.

 

EARLY COMMENCEMENT OF SERVICES AND WAIVER OF COOLING-OFF PERIOD:

Where services are purchased remotely (including online, by telephone, email, messaging platforms, or other electronic communication), clients who qualify as consumers under United Kingdom law may normally have a legal right to cancel the contract within fourteen (14) days without providing a reason.

​

This right is commonly referred to as the “cooling-off period”.

​

However, the Client may request that Ace Ali Edits begin providing services before the end of this 14-day cancellation period.

By accepting a quotation, approving a proposal, confirming a project, paying an invoice, subscribing to a service package, or otherwise requesting Ace Ali Edits to begin work immediately, the Client expressly confirms and agrees that:

​

• They request Ace Ali Edits to begin providing services immediately

• They understand that the standard 14-day cancellation period may no longer apply once services have been fully performed

• If services begin during the 14-day cancellation period and the Client later chooses to cancel the agreement, the Client must pay for all services performed up to the date of cancellation

• The amount payable will be calculated based on the proportion of work completed, time spent, resources allocated, and services already delivered

• Where the services have been fully completed within the 14-day cancellation period, the Client acknowledges that the right to cancel the contract may be lost

Clients who are acting in the course of business, trade, or profession rather than as consumers acknowledge that statutory cooling-off cancellation rights do not apply to business-to-business transactions.

​

Ace Ali Edits reserves the right to request explicit confirmation from the Client that they wish services to begin immediately and acknowledge the potential loss or limitation of cancellation rights before work commences.

​

REFUND POLICY:

Refunds are not guaranteed and will be considered only where required under applicable law or where Ace Ali Edits determines that a refund is appropriate.

​

Where services have already commenced, refunds may be reduced or refused based on:

​

• Work already completed

• Time spent on the project

• Resources allocated

• Scheduling commitments made

​

Where cancellation occurs after work has started, Ace Ali Edits reserves the right to retain payment corresponding to the value of work already performed.

​

LATE PAYMENTS:

Invoices must be paid by the due date specified.

If payment is not received:

• Services may be suspended

• Deliverables may be withheld

• Project timelines may be delayed

​

Ace Ali Edits reserves the right to charge interest on overdue invoices where permitted by law.

​

The Client agrees to pay reasonable costs incurred in recovering unpaid balances including administrative costs, collection costs, and legal fees.

​

CHARGEBACKS:

Clients must attempt to resolve any billing concerns with Ace Ali Edits before initiating a payment chargeback.

​

Initiating a chargeback without prior communication constitutes a breach of this Agreement.

​

Where a chargeback occurs:

​

• Services may be suspended immediately

• Access to deliverables may be revoked

• Outstanding balances may become immediately due

​

Ace Ali Edits reserves the right to pursue unpaid balances through legal or debt recovery procedures.

​

PROJECT SCOPE:

The project scope will be defined in the proposal, quotation, or service package.

​

Work requested outside the agreed scope may require additional fees and written approval before commencement.

​

Ace Ali Edits is not obligated to perform additional work without a revised agreement.

​

CHANGE REQUESTS:

Any change to the agreed project scope must be approved in writing.

​

Ace Ali Edits reserves the right to issue revised quotations for additional work requested by the Client.

​

Work outside the agreed scope will not begin until the Client approves any revised pricing or project terms.

​

REVISIONS:

Projects may include a limited number of revisions as defined within the relevant proposal or service package.

​

Additional revisions beyond the agreed limit may incur additional charges.

​

Revision requests must be submitted within 14 days of deliverable delivery unless otherwise agreed.

​

Requests submitted after this period may be treated as new work.

​

CLIENT APPROVAL:

The Client must review deliverables and provide feedback promptly.

​

If no response is received within 14 days of deliverable submission, the deliverables may be deemed approved.

​

Approved work may not be eligible for additional revisions without additional fees.

 

CLIENT RESPONSIBILITIES:​

The Client agrees to provide necessary materials, feedback, and approvals in a timely manner.

​

Client responsibilities include:

​

• Providing business information

• Supplying assets such as logos, images, and videos

• Reviewing deliverables

• Providing timely feedback and approvals

​

Delays caused by the Client may result in project timeline adjustments.

​

Ace Ali Edits shall not be responsible for delays caused by client inaction.

​

PROJECT TIMELINES:

Project timelines provided are estimates and may vary based on project complexity and client cooperation.

​

Delays may occur due to:

​

• Delayed client communication

• Incomplete materials

• Third-party service interruptions

• Technical issues beyond our control

​

Ace Ali Edits shall not be liable for such delays.

​

PROJECT ABANDONMENT:

If the Client becomes unresponsive or fails to provide required materials or feedback for 30 days or more, the project may be considered abandoned.

​

Ace Ali Edits may:

​

• Close the project

• Reallocate resources

• Require additional fees to restart the project

​

Fees already paid may not be refundable.

​

CANCELLATION:

Clients may cancel services by providing written notice.

​

Where cancellation occurs after work has begun:

​

• Fees already paid may be retained to cover work completed

• Additional fees may be required for work performed but not yet invoiced

​

Ace Ali Edits reserves the right to cancel services where the Client breaches this Agreement or engages in abusive conduct.

​

CLIENT CONTENT AND MATERIALS:

The Client is responsible for ensuring that all materials provided to Ace Ali Edits are legally owned or properly licensed.

​

This includes:

​

• Images

• Videos

• Trademarks

• Music

• Written content

• Branding assets

​

Ace Ali Edits does not verify ownership of client-provided materials.

​

The Client agrees to indemnify Ace Ali Edits against any claims arising from such materials.

​

DATA AND ASSET STORAGE:

Ace Ali Edits does not guarantee long-term storage of project files or deliverables.

​

Clients are responsible for maintaining backups of all materials once deliverables have been provided.

​

Ace Ali Edits shall not be liable for data loss occurring after delivery.

​

INTELLECTUAL PROPERTY:

All intellectual property created by Ace Ali Edits remains the property of Ace Ali Edits until full payment has been received.

Upon full payment, the Client receives a licence to use final deliverables for their intended business purposes.

​

Ace Ali Edits retains ownership of drafts, working files, and internal production materials unless otherwise agreed.

​

DELIVERABLE FILES:

Unless otherwise agreed in writing, the Client will receive only the final exported deliverables associated with the project.

​

Editable source files, project files, or raw production materials are not included unless explicitly specified.

​

DELIVERY OF ASSETS:

Ace Ali Edits reserves the right to withhold final deliverables until all outstanding invoices have been paid in full.

​

PORTFOLIO RIGHTS:

Ace Ali Edits retains the right to display completed work within:

​

• Portfolios

• Marketing materials

• Case studies

• Social media content

​

Unless otherwise agreed in writing.

​

CONFIDENTIALITY:

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

​

This obligation survives termination of the Agreement.

​

THIRD-PARTY PLATFORMS:​

Projects may rely on third-party services such as:

​

• Social media platforms

• Advertising platforms

• Website platforms

• Hosting providers

​

Ace Ali Edits is not responsible for outages, policy changes, account suspensions, algorithm changes, or actions taken by third-party platforms.

​

MARKETING RESULTS DISCLAIMER:

Marketing performance depends on numerous factors outside the control of Ace Ali Edits including industry conditions, competition, advertising budgets, and market demand.

​

Ace Ali Edits does not guarantee:

​

• Specific sales results

• Follower growth

• Search engine rankings

• Advertising outcomes

​

Any projections or examples are illustrative only.

​

NON-DISPARAGEMENT:

The Client agrees not to publish false or defamatory statements regarding Ace Ali Edits.

​

Constructive feedback or dispute resolution should be addressed directly with Ace Ali Edits before any public statements are made.

​

CLIENT CONDUCT:

Clients must communicate respectfully and professionally.

​

Ace Ali Edits reserves the right to terminate services where the Client engages in harassment, abusive conduct, or threatening behaviour toward staff or contractors.

 

ASSIGNMENT:

The Client may not transfer or assign rights under this Agreement to another party without written consent from Ace Ali Edits.

​

LIMITATION OF LIABILITY:

To the fullest extent permitted by law, Ace Ali Edits shall not be liable for indirect or consequential damages including:

​

• Loss of profits

• Loss of revenue

• Reputational damage

• Business interruption

​

Total liability relating to services shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

​

INDEMNIFICATION:

The Client agrees to indemnify and hold harmless Ace Ali Edits against claims arising from:

​

• Client-provided materials

• Misuse of deliverables

• Unlawful activities conducted by the client.

​

LIMITATION PERIOD FOR CLAIMS:

Any claim relating to services must be brought within 12 months of service delivery.

​

FORCE MAJEURE:

Ace Ali Edits shall not be liable for failure to perform obligations due to events beyond reasonable control including natural disasters, internet outages, cyber attacks, illness, or government actions.

​

SEVERABILITY:

If any provision of this Agreement is found unenforceable, the remaining provisions shall remain valid.

 

WAIVER:

Failure to enforce any provision shall not constitute a waiver of future enforcement.

​

ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between the Client and Ace Ali Edits regarding the services provided.

​

GOVERNING LAW AND JURISDICTION:

This Agreement shall be governed by the laws of the United Kingdom.

​

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

​
